  1. POLICY STATEMENT    
       
 

Mewah International Inc. (“Mewah” or “the Group/the Company”) is committed to promote timely and accurate disclosures of material information to the public, in accordance with listing rules stipulated by the Singapore Exchange Securities Trading Limited (“SGX-ST”), the Singapore Code of Governance 2018 and current best practices. We aim to deliver timely and up-to-date material information to investors to support informed investment decisions.

The Company’s Investor Relations (IR) serves as an intermediary between the Company and its shareholders and the investment community through effective information disclosure and dialogue.

 
 
 
 
 
                                             
  2. POLICY PRINCIPLES
         
  2.1 Mewah’s IR Policy outlines the principles and framework for the Company to provide investors, analysts and other IR stakeholders with balanced, clear and pertinent information on matters pertaining to and/or affecting the Company in accordance with Singapore Exchange Securities Trading Limited, the Singapore Code of Governance 2018 and current best practices.
 
   
  2.2 In conducting its IR activities, the Company will comply with all applicable laws and regulations.
 
   
  2.3 All material, price-sensitive announcement will be disclosed in an accurate and timely manner through SGXNET and the Company’s website (www.mewahgroup.com) on a non-selective basis. Therefore, if there is any inadvertent disclosure of material information to a select group, the Company will ensure that the same information is promptly disclosed publicly to all shareholders through SGXNET and the Company’s website.
 
   
  2.4 This Policy is subject to regular review by the Board of Directors of the Company.    
         
  3. COMMUNICATION PRINCIPLES      
         
  3.1 The Company will communicate only through designated senior spokesperson who will establish and maintain regular dialogue with shareholders to solicit and understand their views and respond to queries from members of the investment community or media.
 
     
  3.2 The Company will convey material information and financial results through announcements made on SGXNET and comply with the Listing Manual on the continuous disclosure obligations. Results, annual reports and sustainability reports are announced within the stipulated period. All announcements are posted immediately on the corporate website when released via SGXNET.
 
     
  3.3 The Company reserve the right not to respond to enquiries related to competitiveness or privileged information.
 
     
  3.4 The Company will not comment on rumours or market speculation. However, in the event that material information is deemed to have been leaked or where there is unusual market or trading activities that could be attributable to such rumours or market speculation or the SGX-ST approaches us for clarification, we will respond promptly through announcements via SGXNET.
 
     
  3.5 The Group observes a “Closed Window Period” or “Blackout Period” of two weeks prior to the announcement of the quarterly results and ending one business day after the day of announcement (if the Group announces it quarterly results, whether required by the SGX-ST or otherwise) or one month prior to the announcement of the Group’s half year and full year results, and ending one business day after the announcement of the results (if the Group does not announce its quarterly results). During this period:      
 
  1. The Group will refrain from IR engagements and commenting on industry outlook, the Group’s business performance, financial results or on matters potentially impacting earnings outlook;
  2. The Company will not purchase or acquire any shares of the Company whether on-market or off-market;
  3. All directors and officers of the Group are to refrain from any trading in the shares of the Company.
     
  4. COMMUNICATION WITH SHAREHOLDERS      
         
  4.1 The Company is committed to treat all shareholders fairly and equitably, by engaging with shareholders through various platforms, including:      
 
  1. The Company’s general meeting, namely the Annual General Meeting (“AGM”) and as and when necessary, Extraordinary General Meeting (“EGM”);
  2. Half yearly financial results announcements, results news releases and results presentations announced via SGXNET and the Company’s website;
  3. Regulatory announcements in compliance with the listing rules of SGX-ST on SGXNET and the Company’s website;
  4. News releases;
  5. Corporate website (www.mewahgroup.com);
  6. Any request for meetings/teleconferences from the shareholders.
     
         
  5. SHAREHOLDERS’ MEETINGS    
         
  5.1 The Group’s Annual General Meeting (“AGM”) serves as an important platform for shareholders to communicate directly with the Board. The directors, senior management and the external auditors of the Group will present to address shareholders’ queries and concerns.
 
   
  5.2 All shareholders will be sent a copy of the notices of AGM/EGM, which lists all items of business to be transacted at the general meeting. The Company will also publish the notice of AGM/EGM in the local newspaper, released via SGXNET and broadcasted on the corporate website within the required notice period prior to the AGM/EGM.
 
   
  5.3 Shareholders will also be informed of the rules, including voting procedures that govern these general meetings. Shareholders are also briefed on the voting procedures for the general meetings by independent scrutineers who are responsible to count and validate the votes. An announcement of the voting results will be made promptly via SGXNET and the corporate website after the conclusion of each shareholders’ meeting. Minutes of these meetings are prepared by the Company Secretary and made available to shareholders on SGXNET and the corporate website within one month after the general meeting.
 
   
  5.4 All shareholders are entitled to attend and vote at general meetings in person or by proxy. Both shareholders or proxies have the right to attend, speak and vote at general meetings.

  Financial results, annual reports, news releases, SGXNET announcements, presentation materials and other relevant corporate information will be made available in the “Investor Relations” section of the corporate website (www.mewahgroup.com).    
         
  7. SHAREHOLDER PRIVACY      
         
  The Group recognises the importance of its shareholders’ privacy and will not disclose shareholders’ information without consent, unless required by law. The Group’s privacy policy can be found in the corporate website.

  The Board may review this policy and will amend and/or modify it to ensure its effectiveness and to ensure that any changes to the provisions of the Listing Manual and Code of Governance are properly reflected in this policy.
